PW MEDTECH (01358.HK): Plans to Delist Non-Wholly-Owned Sichuan Ruijian from NEEQ
NewTimeSpace News: On 22 October 2026, PW Medtech Group Limited (stock code: 01358) published an inside information announcement that the board received notice from its non-wholly-owned subsidiary Sichuan Ruijian Medical Technology Co., Ltd. (listed on the National Equities Exchange and Quotations, stock code 874652) that on 21 October 2026 its board resolved to (i) propose a voluntary delisting from the NEEQ; (ii) adopt dissenting shareholder protection measures; (iii) seek shareholder authorisation for its board to handle related matters; and (iv) convene the fifth extraordinary general meeting of 2026 (expected on 6 November) to consider and approve the proposals.
Sichuan Ruijian was established in China on 6 August 2013 and is a medical device company principally engaged in the research, development, manufacturing and sale of blood purification medical devices; as at the announcement date, the Company indirectly holds approximately 53.10% of its total issued shares, and Sichuan Ruijian remains a non-wholly-owned subsidiary whose results are consolidated into the Group's financial statements.
Under the dissenting shareholder protection measures, the repurchase obligors are Sichuan Ruijian, its controlling shareholder, its actual controller or a third party designated by them. Eligible shareholders must have been registered on the record date of the EGM and must not have attended, or must have attended but not voted in favour of, the delisting resolution, and must submit a written application within the valid period, not be in circumstances harmful to the company's interests, have no pending litigation or arbitration, and hold shares free of pledges, freezing or abnormal trading. The repurchase price is the higher of the acquisition cost (on a first-in-first-out basis, adjusted for rights and dividend events and excluding transaction costs) and the latest audited net assets per share attributable to shareholders. Applications must be submitted within one month after delisting, and repurchases must be completed within 12 months of receipt of a valid application.
The board considers the protection measures fair and reasonable and aimed at fully safeguarding minority shareholders. As Sichuan Ruijian will remain a consolidated subsidiary, the board does not expect the proposed delisting, if implemented, to have a material adverse impact on the Group's operations or consolidated financial position. Under the Listing Rules, the Company will calculate the number of dissenting shares and the repurchase price after the EGM and will comply with the applicable requirements based on the final classification if the repurchases constitute discloseable or connected transactions. The delisting is subject to shareholder approval and completion of the NEEQ delisting procedures and may or may not proceed.
