On 22 Oct 2026, BOCOM INTL (03329.HK) said it bought US$23m principal of StanChart and RBC notes for about US$22.35m, a discloseable transaction.

NewTimeSpace News: On 22 October 2026, BOCOM International Holdings Company Limited (stock code: 03329) announced that its direct wholly-owned subsidiary Preferred Investment acquired, in the over-the-counter market, US$6,000,000 principal of the STANLN Notes II at a purchase price of 96.349% for US$5,780,912.17 (about HK$45,380,160.53) on 20 October 2026, and US$7,000,000 principal of the STANLN Notes III at 96.911% for US$6,783,763.00 (about HK$53,252,539.55) the same day; on 21 October 2026 it acquired US$10,000,000 principal of the RY Notes II at 97.814% for US$9,781,375.00 (about HK$76,783,793.75).

The STANLN notes are issued by Standard Chartered and listed in London, and the RY notes by Royal Bank of Canada; the purchases were funded by internal resources. The Company had earlier acquired STANLN Notes I, II and RY Notes I between 22 and 30 September 2026 for US$3,815,632.94, US$2,900,305.83 and US$6,727,898.31 respectively, each with all applicable percentage ratios below 5%, and those did not constitute discloseable transactions.

As the prior and current STANLN purchases were made within a 12-month period, they are aggregated as a series under Rule 14.22; with the highest applicable percentage ratio exceeding 5% but below 25% on aggregation, they constitute a discloseable transaction. The RY purchases are aggregated on the same basis with the same result; both are subject to the notification and announcement requirements of Chapter 14.

The acquisitions provide long-term investment opportunities for the Group to deploy capital resources for stable returns at reasonable risk. The directors consider the terms fair and reasonable, on normal commercial terms, in the ordinary course of business and in shareholders' interests. Counterparties included Credit Agricole Corporate & Investment Bank, Société Générale, Jefferies, Mizuho Securities Asia, SMBC Bank International and HSBC; HSBC holds about 16% of Bank of Communications, the Company's ultimate controlling shareholder.
