BEFAR GROUP (06745.HK): New Joint Company Secretary, Gets Rule Waiver

NewTimeSpace News: On 29 September 2026, Befar Group Co., Ltd (stock code: 06745.HK) announced that Ms. Sun Shufang has tendered her resignation as a joint company secretary due to adjustment of work duties, with effect from 29 September 2026, and will continue to serve as the chief financial officer of the Company. Mr. Sun Qingwei has been appointed as a joint company secretary with effect from the same date, while Ms. Liu Shengyun will continue to be the other joint company secretary.

Mr. Sun is the vice president and the board secretary of the Company, primarily responsible for the Group's securities-related affairs. He previously served as deputy secretary of the Party Committee and chief operating officer of Shandong Hi-Speed Holdings Group Limited (stock code: 00412.HK) and as secretary of the Party Committee and an executive director of Shandong Hi-Speed New Energy Group Limited (stock code: 01250.HK). He passed the SSE examination for board secretary qualification and obtained the qualification in January 2026.

As Mr. Sun does not currently possess the company secretary qualifications required under Rule 3.28 of the Listing Rules, the Company applied to the Stock Exchange for, and has been granted, a waiver from strict compliance with Rules 3.28 and 8.17 of the Listing Rules for a waiver period of three years from the effective date of his appointment, during which Ms. Liu will assist him in discharging his duties and accumulating the relevant experience. The waiver may be revoked if there are material breaches of the Listing Rules by the Company.
