HONY MEDIA (00419.HK): Forms joint venture with AIROBO to enter robotics platform operations, holding 70% stake

NewTimeSpace News: On 12 August 2026, HONY MEDIA (00419.HK) announced that the Company and AIROBO incorporated AIROBO (HK) LIMITED in Hong Kong to operate a robotics platform business, with the Company holding 70%. The Group will operate in mainland China through its wholly-owned subsidiary Ainuobo (Chengdu); the highest applicable percentage ratio of the Group's aggregate contribution is below 5%, so the transactions are not notifiable.

NewTimeSpace News: On 12 August 2026, HONY MEDIA GROUP (stock code: 00419) issued a voluntary announcement stating that the Company and AIROBO PTE. LTD (AIROBO) jointly incorporated a joint venture, AIROBO (HK) LIMITED, in Hong Kong to operate a robotics platform business, with the Company holding 70% and AIROBO holding 30% of the joint venture. 

The joint venture has established a wholly-owned subsidiary, Ainuobo (Chengdu) Technology Co., Ltd. (Ainuobo (Chengdu)), in the China (Sichuan) Pilot Free Trade Zone, which will serve as the Group's independent operating entity in mainland China, responsible for business expansion, technology R&D and customer services for the robotics platform in the mainland China market. The joint venture and Ainuobo (Chengdu) have become subsidiaries of the Group, and their financial results will be consolidated into the Group's financial statements. At the time of incorporation of the joint venture, AIROBO and its ultimate beneficial owner(s) were independent third parties of the Company and its connected persons.

The announcement disclosed that the Group has accumulated capabilities in AI algorithms, data platform operations and intelligent system development in the digital operations of the healthcare industry, and the robotics platform operation business represents an extension of these AI and digital operation capabilities into physical-space scenarios. As artificial intelligence, the Internet of Things and automation technologies develop, the robotics industry is evolving from hardware manufacturing towards platform-based operations. The incorporation of the joint venture and the establishment of the domestic operating entity constitute an expansion of the Group's application scenarios for its AI and digital operation capabilities on the basis of its existing business. AIROBO has relevant experience in robotics platform operations and technology R&D, while the Group possesses corporate management, market resources and digital operation capabilities. The Board considers that the cooperation will facilitate the development of the joint venture's business and is in the overall interests of the Company and its shareholders.
