UBTECH ROBOTICS (09880.HK): Adopts H-share incentive plan with 10-year plan period and plan mandate limit of 10% of issued shares
NewTimeSpace News: In 2026, UBTECH Robotics Corporation Ltd. (stock code: 09880) adopted an H-share incentive plan (the "Plan"). The Plan aims to attract, incentivise and retain grantees who have made or may make contributions to the development and growth of the Group, aligning the interests of grantees directly with those of shareholders through share ownership to enhance the value of the Group; the Plan is administered by the Board or authorised persons of the Board, and decisions of the Board are final and binding on all persons affected.
Under the Plan, an award is a conditional right granted by the Board or the committee to a grantee, entitling the relevant grantee, upon satisfaction of vesting conditions and other conditions determined by the Board or the committee, to subscribe for incentive shares at the grant price (determined by the Board or authorised persons of the Board and payable by the grantee upon vesting of the award). The plan period is ten (10) years commencing from (and including) the adoption date, being the date on which shareholders approve the proposed adoption of the Plan at a general meeting or the date on which any other required approval is obtained under the Listing Rules; no further awards may be granted under the Plan after the expiry of the plan period, provided that awards granted but not yet vested before the expiry of the plan period shall continue to be effective in accordance with the relevant terms of grant.
In respect of plan limits, the total number of H shares which may be issued (or transferred out of treasury) in respect of all awards to be granted under the Plan and all share options, awards and incentives granted under any other share scheme of the Company shall not exceed 10% of the total number of issued shares (excluding any treasury shares) as of the adoption date (the "Plan Mandate Limit"); the total number of H shares issued or to be issued to each grantee during any 12-month period up to and including the date of the last grant shall not exceed 1% of the total number of issued shares (the "1% Individual Limit"), with any additional grant to a grantee exceeding the 1% Individual Limit requiring separate shareholders' approval at a general meeting in accordance with the Listing Rules. Grants of awards to any director, chief executive or substantial shareholder of the Company or any of their respective associates require the prior approval of the Company's independent non-executive directors.
