CHK OIL (00632.HK): Resignation of CFO, company secretary, authorised representative and process agent; non-compliance with Listing Rules

NewTimeSpace News: CHK Oil Limited (stock code: 00632) published an announcement, announcing that Mr. Zheng Zhensheng has resigned as the chief financial officer, company secretary, authorised representative under Rule 3.05 of the Listing Rules and process agent of the Company, with effect from 7 August 2026. Mr. Zheng has confirmed that there is no disagreement with the Board and that there are no other matters relating to his resignation that need to be brought to the attention of the Stock Exchange and the shareholders of the Company, and the Board expressed its gratitude to Mr. Zheng for his contributions during his tenure.

Following the resignation, the Company has failed to comply with the following requirements under the Listing Rules: Rule 3.05 requiring a listed issuer to appoint two authorised representatives as the principal channel of communication with the Stock Exchange at all times; Rule 3.28 requiring a listed issuer to appoint an individual as company secretary who is suitably qualified and/or has relevant experience; and Rule 19.05(2) requiring an overseas issuer to appoint and authorise a person to accept service of process and notices on its behalf in Hong Kong during the listing of its securities. The Company is currently identifying suitable candidates to fill the vacancies of authorised representative, company secretary and process agent as soon as practicable, so as to ensure compliance with Rules 3.05, 3.28 and 19.05(2) of the Listing Rules and Part 16 of the Companies Ordinance, and will make further announcement(s) in this regard in due course.
