TONG REN TANG (01666.HK): 49% Shareholder Applies for Dissolution of Subsidiary Tongrentang Xing'an Healthcare; Hearing Not Yet Scheduled

NewTimeSpace News: TONG REN TANG (01666.HK) announced on 14 July that the 49% shareholder of Tongrentang Xing'an Healthcare has filed an application with the court to dissolve the entity, in which the Group holds a 51% equity interest. The case has been accepted but no hearing has been arranged. The subsidiary contributed approximately 13.32% of the Group’s revenue, 16.72% of annual profit and 3.17% of total assets as at end-2025. Its potential dissolution may exert certain adverse impacts on future operating results, while the outcome remains uncertain. The Group has launched special rectification and suspended its outsourced processing business.

NewTimeSpace News: On 14 July 2026, TONG REN TANG(01666.HK) released an inside information announcement. The Company received documents served by Miyun People’s Court on 14 July 2026. Beijing Dekang Xinrui Trading Co., Ltd., holding a 49% equity interest in Tongrentang Xing'an Healthcare, submitted an application to the court for dissolution, claiming that circumstances triggering dissolution as stipulated under the articles of association have arisen. Tongrentang Xing'an Healthcare is a subsidiary in which the Company holds a 51% stake. The hearing has not yet commenced, and the Company will participate in the judicial proceedings as a third party in accordance with law.

Starting from 2026, the Group has carried out special standardised governance over all subsidiaries including Tongrentang Xing'an Healthcare. Since March 2026, it has gradually suspended the production and sales of outsourced processed products of such subsidiary. As at the end of 2025, Tongrentang Xing'an Healthcare accounted for approximately 13.32% of the Group’s revenue, 16.72% of annual profit and 3.17% of total assets. Its potential dissolution may bring certain adverse impacts on future operating performance, yet it remains uncertain whether the application will be granted and the actual magnitude of impact.
