MEIKESHENG ENERGY: CSRC seeks supplementary materials on state assets, incentives

On 18 September 2026, the International Department of the CSRC issued supplementary material requirements for MEIKESHENG ENERGY's overseas listing filing, covering six items including outbound investment procedures, state-owned shareholder identification, and equity incentive plan compliance.

NewTimeSpace News: On 18 September 2026, the International Department of the CSRC issued supplementary material requirements for Meikesheng Energy's overseas issuance and listing filing, covering six items.

Regarding outbound investment, the CSRC requires an explanation of the performance of regulatory procedures for outbound investment and foreign exchange management in connection with the Company's establishment of overseas subsidiaries, together with a definitive opinion on compliance. Regarding state-owned shareholders, the CSRC requires an explanation of the progress of state-owned shareholder identification and the performance of state asset management procedures. Regarding equity incentives, the CSRC requires an explanation of the compliance of the equity incentive plans already implemented, including the composition and positions of the participants, whether they are related to other shareholders, directors, supervisors and senior management of the issuer, and the fairness of prices, contractual arrangements, decision-making procedures and standardised operation, together with a definitive conclusion on legality and compliance and on whether there is any transfer of benefits.

In addition, the CSRC requires an explanation of whether the shares to be involved in the "full circulation" are subject to pledge, freezing or other defects in title; of the reasonableness of the subscription prices of shareholders added in the last 12 months and the reasons for differences between them, with a definitive conclusion on any transfer of benefits; and an itemised statement of the specific amounts and proportions of proceeds to be used for domestic and overseas investment projects, with an explanation of the relevant approval, authorisation or filing procedures and, where such procedures are in progress, an undertaking that all proceeds will be repatriated to the PRC.
