NewTimeSpace News: On 14 August 2026, the CSRC International Department issued supplementary filing requirements to Beijing GeoEnviron Engineering & Technology, Inc. for its overseas listing, requiring supplementary explanations on 6 items - the energy-intensity nature of fund-raising projects, pledge of the actual controller's shares and debt repayment guarantees, use of proceeds for domestic and overseas projects, overseas funded projects and their approvals, pending litigation and arbitration, and administrative penalties - with clear legal opinions from its lawyers.
According to the announcement, the regulator requires the Company to explain whether its completed, under-construction and proposed fund-raising projects are "high energy consumption" or "high emission" projects with supporting evidence; to explain, based on its debt repayment capacity, whether pledge of the actual controller's shares, major borrowings of the Company and its subsidiaries and external guarantees before and after the offering could cause major ownership disputes over the Company's shares or a change of its controlling shareholder; and to itemize the specific amounts and proportions of proceeds to be used for domestic and overseas investment projects, explaining the status of relevant approvals, verifications or filings, and, if such procedures are still in progress, to provide a commitment to transfer all proceeds back to Mainland China.
The request also requires the Company to explain the details of its overseas funded projects and the status of outbound investment approvals, verifications or filings with supporting evidence; to explain all pending litigation and arbitration, whether such circumstances could have a material adverse effect on future operations, constitute a substantive obstacle to the offering, or have been fully disclosed; and to explain all administrative penalties and rectification measures, whether they constitute material illegal or non-compliant conduct, while providing the Chongqing ecological environment authority's penalty and rectification determination, court judgments, penalty documents and other materials.
