DUFU LIQUOR GP (00986.HK) appoints Hui Hung Kwan as INED and audit committee chairman at HK$120,000 a year

NewTimeSpace News: On 28 October, Dufu Liquor Group Limited (DUFU LIQUOR GP, 00986.HK) announced that Mr Hui Hung Kwan has been appointed as an independent non-executive director, a member of the remuneration committee, a member of the nomination committee and chairman of the audit committee, with effect from 28 October 2026. Aged 55, Mr Hui graduated from The Chinese University of Hong Kong with a bachelor's degree in business administration in 1994 and has more than 30 years of experience in accounting and finance; he is a member of the Hong Kong Institute of Certified Public Accountants and a fellow of the Association of Chartered Certified Accountants.

Mr Hui currently serves as an independent non-executive director of a Main Board-listed company (stock code: 1413) and a GEM-listed company (stock code: 8056), and was an independent non-executive director of a Main Board-listed company (stock code: 1501) from December 2018 to September 2026. He has entered into a letter of appointment with the company for an initial term of one year, automatically renewable for one year upon expiry, with annual remuneration of HK$120,000, and has confirmed that he meets all independence factors under Rules 3.13(1) to (8) of the Listing Rules.

The company also noted that, following the appointment, the board has only two independent non-executive directors, below the minimum number required under Rule 3.10(1), and that the audit committee has only two members, below the minimum required under Rule 3.21. The company said it is committed to identifying suitable candidates and will appoint an independent non-executive director as soon as practicable to comply with the requirements, and will make a further announcement in due course.
