The Company stated that, under Rule 14.22 of the Listing Rules, as the transactions under the subscriptions were conducted through the same counterparty (namely JPMorgan Bank), they should be aggregated; as the highest applicable percentage ratio of the aggregated transactions exceeds 5% but is below 25%, the transactions under the subscriptions constitute a discloseable transaction of the Company and are subject to the notification and announcement requirements under Chapter 14 of the Listing Rules, but are exempt from the shareholders' approval requirement. The board considers that rationally and effectively deploying temporary idle funds will enhance the Company's return on capital, which is consistent with its core objective of ensuring capital safety and liquidity and meets the Group's working capital needs for daily operations; US Treasury notes are supported by the credit of the US government, carry relatively low risk and high liquidity, and can provide the Group with stable interest income. The Current Subscription is funded by the Group's own resources and is made on the premise of ensuring funds required for the Group's daily operations; the Group has fully assessed and measured the risks and returns of the subscription and its future funding needs, and the subscription will not affect the normal operation of its daily working capital or the development of its principal business. To the best of the directors' knowledge, information and belief after making all reasonable enquiries, the US Department of the Treasury, JPMorgan Bank and their ultimate beneficial owners are third parties independent of the Company and its connected persons.
