LDROBOT (01236.HK) to buy German garden tools maker SABO for up to EUR6m
- The parties comprise the Company and its Singapore subsidiary ANTHBOT (SG) PTE. LTD. as purchasers, SABO Holding GmbH as vendor, Lars Daniel and Christoph Schindler as vendor guarantors and the Target Company; the Singapore subsidiary will directly hold 100% of the Target Company, whose financial results, assets and liabilities will be consolidated into the Group.
- Completion is conditional on, among others, obtaining the outbound direct investment approval and third-party consent to the change of control, and may be rescinded if the conditions are not fulfilled within 180 days; the vendor and vendor guarantors gave a two-year non-compete undertaking; the Target Company is registered in Gumersbach, Germany, incorporated in 1932, and distributes petrol and battery-powered lawn mowers, scarifiers, blowers, hedge trimmers, lawn tractors and high-grass machinery through over 1,400 specialist retailers in Europe.
NewTimeSpace News: On 7 October 2026 (after trading hours), Shenzhen LDROBOT Co., Ltd. (stock code: 01236) announced that the Company and its Singapore subsidiary ANTHBOT (SG) PTE. LTD., together with the Vendor SABO Holding GmbH, the Vendor Guarantors Lars Daniel and Christoph Schindler and the Target Company, entered into an agreement pursuant to which the Company will acquire, through the Singapore subsidiary, the entire equity interest in SABO-Maschinenfabrik GmbH for a total transaction amount of not more than EUR6.0 million (approximately HKD53.43 million).
According to the announcement, the transaction amount comprises EUR1.0 million payable to the Vendor for the acquisition of the entire equity interest in the Target Company and a capital increase in the Target Company's registered capital or capital reserve of not more than EUR5.0 million for working capital support; approximately 75% will be funded by the proceeds from the Global Offering and the remaining 25% by the Group's internal resources. The Target Company is a long-established German manufacturer of premium garden machinery incorporated in 1932, distributing lawn mowers and other garden tools through a network of over 1,400 specialist retailers across Europe; its unaudited revenue for the years ended 31 December 2024 and 2025 was approximately EUR22.6 million and EUR18.2 million respectively, with a net loss after taxation of approximately EUR0.9 million and net profit after taxation of approximately EUR1.1 million.
According to the announcement, as one or more of the applicable percentage ratios exceed 5% but all are below 25%, the Acquisition constitutes a discloseable transaction under Chapter 14 of the Listing Rules. Completion is subject to fulfilment of conditions including obtaining the outbound direct investment approval and third-party consent to the change of control of the Target Company; the Vendor and the Vendor Guarantors have undertaken not to engage in competing activities for two years after the Completion Date. The Board considers the Acquisition will enable the Group to secure a premium European brand, distribution channels and localised supply chain resources and reduce the channel-building cost for its smart garden robots entering the European market.
