BOCOM INTL (03329.HK): Buys HSBC Notes II for ~HKD 40.3mn; Combined Purchases Form Discloseable Transaction

NewTimeSpace News: On 24 September 2026, BOCOM International Holdings Company Limited (the "Company") announced that on 23 September 2026, Preferred Investment, a direct wholly-owned subsidiary of the Company incorporated in the British Virgin Islands and principally engaged in investment management, purchased on the over-the-counter market US$5,100,000 in principal amount of HSBC Notes II at a purchase price of 100.635, for a consideration of US$5,132,363.22 (approximately HKD 40,289,051.28), funded by the Group's internal resources. HSBC Notes II were issued by HSBC Holdings plc and form part of US$1,250,000,000 floating rate senior unsecured notes issued on 10 March 2026 and due 10 March 2032, listed on the New York Stock Exchange.

The announcement disclosed that, as to prior acquisitions, Preferred Investment purchased the first batch of HSBC Notes I (US$7,950,000 in principal) on the over-the-counter market on 18 September 2026 for US$7,992,021.93 (approximately HKD 62,737,372.15) and the second batch on 22 September 2026 for US$16,087,357.56 (approximately HKD 126,285,756.85). HSBC Notes I form part of US$1,000,000,000 floating rate senior unsecured notes issued on 14 August 2026 and due 14 August 2032. As the prior acquisitions and the acquisition were made within a twelve-month period, aggregated under Rule 14.22, the highest applicable percentage ratio exceeds 5% but is below 25%, constituting a discloseable transaction subject to the notification and announcement requirements under Chapter 14 of the Listing Rules.

The Company stated that the issuer, HSBC Holdings plc, is one of the world's largest banking and financial services organisations and indirectly holds about 16% of Bank of Communications, the Company's ultimate controlling shareholder; the issuer is an independent third party. Counterparties to the note purchases included Standard Chartered Bank (Hong Kong), Jefferies International, Mizuho Securities Asia and Haitong International Securities, all independent third parties. The board considers that the acquisitions provide the Group with long-term investment opportunities to achieve stable investment returns while taking reasonable risks, on fair and reasonable terms and in the overall interests of the Company and its shareholders.
