NewTimeSpace News: On 22 September 2026, Mount Everest Gold Group Company Limited (stock code: 01815) announced that on 21 September 2026 after trading hours, it entered into six subscription agreements with six subscribers to allot and issue an aggregate of 277,000,000 subscription shares at HKD 1.60 per share, raising gross proceeds of approximately HKD 443,200,000. The subscription price represents a discount of approximately 17.95% to the closing price of HKD 1.95 per share on the date of the subscription agreements and approximately 16.84% to the average closing price of HKD 1.924 per share for the last five consecutive trading days.

The subscription shares represent approximately 19.59% of the existing issued share capital and approximately 16.38% of the enlarged issued share capital, with an aggregate nominal value of USD 27,700 and a market value of approximately HKD 540,150,000 based on the closing price of HKD 1.95 per share. Estimated net proceeds are approximately HKD 442,700,000, of which approximately 90% (approximately HKD 398,430,000) will be used as working capital for the gold bar business, principally for procuring physical standard gold and related processing, packaging, logistics, insurance and custody costs, and approximately 10% (approximately HKD 44,270,000) for general working capital. The subscription shares will be allotted under the general mandate granted at the annual general meeting and do not require further shareholder approval.

Completion is subject to the fulfilment or waiver of the conditions precedent, and the subscription agreements are not inter-conditional. Upon completion, China Silver's (00815.HK) interest will be diluted from approximately 35.37% to approximately 29.57%, ceasing to be a controlling shareholder but remaining the single largest shareholder, and its non-competition undertaking will terminate. The subscribers are subject to a one-month lock-up from the issue date.
