BETHEL AUTOMOTIVE: CSRC seeks supplementary filing materials on litigation, Chery dealings
NewTimeSpace News: On 18 September 2026, the International Department of the CSRC issued supplementary material requirements for Bethel Automotive's overseas issuance and listing filing, covering five items.
Regarding outbound investment, the CSRC requires an explanation of the performance of regulatory procedures for outbound investment and foreign exchange management in connection with the Company's establishment of overseas subsidiaries, together with a definitive opinion on compliance. Regarding the proceeds, the CSRC requires an itemised statement of the specific amounts and proportions of the proceeds to be used for domestic and overseas investment projects and an explanation of the relevant approval, authorisation or filing procedures, and, where such procedures are in progress, an undertaking that all proceeds will be repatriated to the PRC. Regarding litigation, the CSRC requires an explanation of all outstanding litigation and arbitration involving the Company, whether such matters will have a material adverse effect on its future operations, whether they constitute a material obstacle to the offering, and whether they have been fully disclosed.
In addition, the CSRC requires an explanation of the specific transactions between the Company and Chery Automobile and others during the reporting period and the fairness of the related-party transaction prices, together with a definitive conclusion on whether there is any transfer of benefits; and, in light of debt-servicing capacity, an explanation of whether share pledges and loan guarantees before and after completion of the offering may give rise to material ownership disputes or cause a change in the controlling shareholder.
