BRONCUS-B (02216.HK): Terminates share transfer agreement; USD 5.5m deposit to be refunded

NewTimeSpace News: On 21 September 2026, Broncus Holding Corporation (stock code: 2216) published a major transaction announcement on the termination of a previously entered share transfer agreement.
The announcement stated that, following further discussion between Broncus China Holding Corporation, a wholly-owned subsidiary of the Company (the Buyer), and Max Grand Limited (the Seller), the parties entered into a termination agreement on 20 September 2026 to terminate the share transfer agreement, effective from the date of signing. Under the termination agreement, the share transfer agreement shall be terminated and cease to have any further effect, and neither party shall have or incur any liability or claim against any other party in respect of the share transfer agreement, including any claim arising from any breach or alleged breach, whether or not such breach actually occurred. The parties irrevocably and unconditionally released each other from all such obligations and claims, save for any claims arising under the termination agreement.
The announcement noted that the Seller shall, within five business days after the effective date, refund to the Buyer a deposit of USD 5,512,019.2 without interest.
