AOM INT'L (00381.HK): Proposed 2-for-1 Share Consolidation, Subscription Price Revised to About HK$ 0.226

NewTimeSpace News: On 17 September 2026, AOM International Group Company Limited (stock code: 00381) announced that the Board proposed a share consolidation on the basis that every two (2) existing shares of HK$ 0.1 each be consolidated into one (1) consolidated share of HK$ 0.2 each, and proposed to change the board lot size from 20,000 existing shares to 10,000 consolidated shares, subject to the share consolidation becoming effective. As at the date of the announcement, the Company had 1,330,424,526 existing shares in issue.

The announcement states that the closing price of the existing shares on the date of the announcement was HK$ 0.074. As the closing price had remained below HK$ 0.1 per existing share for more than two months up to and including the date of the announcement, the current board lot of 20,000 existing shares does not comply with the relevant guidance of the Stock Exchange, and the share consolidation and change in board lot size are therefore proposed.

In respect of the issue of new shares under a specific mandate for the loan capitalisation of the Hubei convertible bonds, the Company and the subscriber entered into a second supplemental agreement on 17 September 2026 (after trading hours of the Stock Exchange), under which the subscription price was revised from approximately HK$ 0.113 to approximately HK$ 0.226 and the number of subscription shares was revised from 300,884,950 shares to 150,442,475 consolidated shares, representing approximately 11.31% of the existing issued share capital and approximately 10.16% of the issued share capital as enlarged, with a nominal value of HK$ 30,088,495. A condition precedent that the share consolidation has become effective was added, and the agreement will terminate if the condition is not fulfilled by 6 November 2026.

As regards the major transaction involving the issue of convertible bonds to acquire a 51% equity interest in the target company, the Company is in negotiations with the vendor on the revision of the conversion price of the convertible bonds in light of the share consolidation. The share consolidation is conditional upon, among other things, shareholders passing an ordinary resolution and the Stock Exchange granting approval for the listing of and permission to deal in the consolidated shares. The circular is expected to be despatched on or before 9 October 2026, the extraordinary general meeting will be held on 29 October 2026, and the share consolidation is expected to become effective on 2 November 2026.
