BANK OF GANSU (02139.HK): Proposed Appointment of Du Jing as Executive Director and Appointment as President

On 14 September 2026, BANK OF GANSU (02139.HK) announced that, at the board meeting held on the same date, the Board resolved to propose the appointment of Mr. Du Jing as an executive director of the fourth session of the board of directors of the Bank and agreed to appoint him as president of the Bank; both his director and president qualifications are subject to approval by the Gansu Regulatory Bureau of the National Financial Regulatory Administration.

(stock code: 02139.HK) announced that, at the board meeting held on 14 September 2026, the Board resolved to propose the appointment of Mr. Du Jing as an executive director of the fourth session of the board of directors of the Bank, with his term of office commencing from the date on which the Gansu Regulatory Bureau of the National Financial Regulatory Administration (the "Gansu Financial Regulatory Bureau") approves his qualification as a director, consistent with the term of the fourth session of the board of directors, and he may be re-elected upon the expiry of his term.

The announcement stated that Mr. Du Jing, aged 50, holds a bachelor's degree. He previously served as secretary of the president's office, deputy head (in charge) and head of the publicity team, and deputy head of the Lanzhou Qilihe Sub-branch of the Gansu Provincial Branch of Bank of China. He joined the Bank in December 2011 and has served successively as general manager of the Bank's Personal Banking Department, director of the Credit Card Centre and general manager of the Asset Management Department, as well as a member of the Party Committee and vice president; from February 2023 to January 2024, he was seconded as deputy director-general of the Department of Foreign Investment Administration of the Ministry of Commerce of the People's Republic of China, and he has served as deputy secretary of the Party Committee of the Bank since September 2026. If appointed, Mr. Du Jing will enter into a director's service agreement with the Bank, and his remuneration will be determined in accordance with the relevant systems of the Bank and linked to his position and performance, principally comprising basic salary, performance-based remuneration, enterprise annuity, employee benefits, and the employer's contributions to social insurance and the housing provident fund.

The announcement further stated that, at the board meeting, the Board considered and approved the appointment of Mr. Du Jing as president of the Bank, with his term of office commencing from the date on which his qualification as president is approved by the Gansu Financial Regulatory Bureau and until the expiry of the fourth session of the board of directors. Meanwhile, the Board considered and approved that, from 14 September 2026 until Mr. Du Jing's qualification as president is approved, Mr. Du Jing shall perform the duties of president of the Bank on an interim basis. The Bank will convene a shareholders' meeting in due course to consider and, if thought fit, approve by ordinary resolution the election of Mr. Du Jing as an executive director of the fourth session of the board of directors, and will provide its shareholders with the relevant circular and notice of meeting in due course.
