PKU RESOURCES (00618.HK): Executive Director Hou Ruilin resigns; Xiong Yan appointed as Executive Director
- Mr. Hou Ruilin has confirmed that he has no disagreement with the Board, and there is no other matter relating to his resignation that needs to be brought to the attention of shareholders or The Stock Exchange of Hong Kong Limited.
- Ms. Xiong Yan, aged 33, held various positions at Sanshui Industrial Co., Ltd. and its affiliated companies from March 2021 to July 2026 and served as a supply chain specialist at China National Building Material Group Co., Ltd. from October 2019 to February 2021; she obtained a bachelor's degree in applied finance from Macquarie University in Australia in September 2019.
- Ms. Xiong has entered into a two-year service agreement with PKU Resources commencing from the date of appointment, subject to retirement by rotation and re-election or re-appointment; she confirmed that she has no relationship with any director, senior management or substantial or controlling shareholder of the Company and has not held any directorship in any other listed public company in the past three years.
NewTimeSpace News: On 11 September 2026, Peking University Resources (Holdings) Company Limited (stock code: 00618) announced that Mr. Hou Ruilin resigned as an executive director of the Company with effect from 11 September 2026 in order to devote more time to his personal affairs, and that Ms. Xiong Yan has been appointed as an executive director of the Company with effect from the same date.
Mr. Hou has confirmed that he has no disagreement with the Board and that there is no other matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited. The Board expressed its sincere gratitude to Mr. Hou for his contribution to the Company during his tenure of office.
Ms. Xiong has entered into a service agreement with the Company for a term of two years commencing from the date of appointment, subject to retirement by rotation and re-election or re-appointment under the articles of association of the Company. Ms. Xiong is entitled to a director's remuneration of HKD 1.00 per annum, which may be reviewed by the Board from time to time at its discretion and was determined with reference to her experience, duties and responsibilities with the Company, as well as the Company's performance and prevailing market conditions.
Ms. Xiong, aged 33, has experience in the commodity trading and supply chain services sectors. She held various positions at Sanshui Industrial Co., Ltd. and its affiliated companies from March 2021 to July 2026, during which she led Sanshui Industrial to establish a market position and industry reputation in the non-ferrous metals trading sector, and served as a supply chain specialist at China National Building Material Group Co., Ltd. from October 2019 to February 2021. Ms. Xiong currently serves as the chairman of the "Commodity Trading and Supply Chain" committee of the Shanghai Putuo District Women's Federation, and in 2026 she was appointed as a member of the "Commodity Youth Think Tank" jointly initiated by the Communist Youth League of the Putuo District Committee, the Putuo Youth Federation, the Shanghai Financial Youth Federation and the Shanghai State-owned Assets Youth Federation. She obtained a bachelor's degree in applied finance from Macquarie University in Australia in September 2019.
Ms. Xiong has confirmed that she has no relationship with any director, senior management or substantial or controlling shareholder of the Company and does not hold any position with the Company or any of its subsidiaries; that she has not held any directorship in any other public company listed on any securities market in Hong Kong or overseas in the past three years; that she does not have any interest in the shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong); and that there is no other information required to be disclosed in respect of her pursuant to Rules 13.51(2)(h) to (v) of the Listing Rules and no other matter relating to her appointment needs to be brought to the attention of shareholders. The Board took the opportunity to welcome Ms. Xiong on her appointment as an executive director. As at the date of this announcement, the Board comprises executive directors Mr. Huang Qihao (Chairman), Mr. Huang Zhuguang, Mr. Xia Ding and Ms. Xiong Yan, and independent non-executive directors Mr. Qian Zhihao, Ms. Xu Nan and Professor Zhang Jiayu.
