CHINA ORAL IND (08406.HK): Forms joint venture with Future Century in Shenzhen with RMB 1 million registered capital
NewTimeSpace News: After trading hours on 10 September 2026, China Oral Industry Group Holdings Limited (stock code: 08406) announced that Shenzhen Heruijianheng Health Co., Ltd., a subsidiary of the company, entered into a joint venture agreement with Future Century (Shenzhen) Health Industry Holding Co., Ltd. to establish a joint venture in the PRC.
According to the announcement, the joint venture will be established as a limited liability company in Shenzhen or another location in the PRC agreed by the parties, with a proposed name of Future Century (Shenzhen) Synthetic Biology Co., Ltd., subject to final registration approval by the PRC market supervision authorities. The registered capital will be RMB 1,000,000, with Heruijianheng contributing RMB 510,000 in cash and Future Century contributing RMB 490,000 in cash, representing 51% and 49% equity interests respectively. The joint venture is intended to principally engage in the sale of SOD synthetic biology health products.
The joint venture will have a three-member board, with Heruijianheng entitled to nominate two directors and Future Century one director, while the chairman and legal representative will be appointed by Heruijianheng; no supervisory board will be established, with one supervisor to be appointed in principle by Heruijianheng. The company stated that the parties intend to combine Future Century's resources in the health industry, technical services and information technology with the Group's existing customer resources and relationships to pursue business collaboration, project research, market development and customer services in health-related products and services. As all applicable percentage ratios under Chapter 19 of the GEM Listing Rules are below 5%, the joint venture does not constitute a discloseable transaction or a connected transaction.
