OURGAME (06899.HK): Liquidators still face challenges accessing books, must meet resumption guidance by 3 September 2027

On 4 September 2026, OURGAME (06899.HK) issued a quarterly update on its resumption progress: the joint official liquidators' appointment was recognised by the Hong Kong court on 26 June 2026, but they still face challenges accessing the books and records; the Company must meet seven items of resumption guidance (including publishing results, setting aside the winding-up order and forensic investigation) by 3 September 2027, failing which its listing may be cancelled; trading has been suspended since 4 March 2026 and will remain suspended.

NewTimeSpace News: On 4 September 2026, OurGame International Holdings Limited (in formal liquidation) (stock code: 06899) issued a quarterly update on its resumption progress under Rule 13.24A of the Listing Rules. The joint official liquidators have only been provided with limited books and records of the Company to date, which remain insufficient for them to ascertain the financial position, asset position and operations of the Group. To assist in obtaining control of the Group's books, records and assets, the joint official liquidators have sought recognition in Hong Kong of the Company's liquidation proceedings and their appointment, and on 26 June 2026, the Hong Kong court ordered recognition of the formal liquidation of the Company and the appointment of the joint official liquidators, after which additional books and records were obtained from certain stakeholders. However, the joint official liquidators have been informed by the chairman of the board and certain directors that they no longer hold or have access to the Company's books and records and are therefore unable to provide further assistance, and the liquidators continue to face challenges in obtaining information and documents relating to the Group's affairs.

In respect of the annual results, due to the ongoing liquidation proceedings and the limited books and records available, the Company was unable to publish its 2025 annual results and annual report before the prescribed deadline of 31 March 2026. In respect of the resumption guidance, the Company received a letter from the Stock Exchange on 27 July 2026 setting out the resumption guidance, including: publishing all outstanding financial results and addressing any audit modifications; withdrawing or setting aside the winding-up order against the Company and discharging any liquidators; demonstrating compliance with Rule 13.24 of the Listing Rules; conducting an appropriate independent forensic investigation; demonstrating that there are no reasonable regulatory concerns regarding the integrity of management; engaging an independent internal control adviser for an internal control review; and informing the market of all material information.

Under Rule 6.01A(1) of the Listing Rules, the Stock Exchange may cancel the listing of any securities that have been continuously suspended for 18 months. In the Company's case, it must remedy the issues causing its suspension, meet the resumption guidance and resume trading in its shares on or before 3 September 2027, failing which the Listing Department of the Stock Exchange will recommend the cancellation of the Company's listing. Trading in the Company's shares has been suspended since 11:59 a.m. on 4 March 2026 and will continue to be suspended until further notice.
