GENSCRIPT BIO (01548.HK): Proposes spin-off and separate listing of Probio Technology on the Main Board

NewTimeSpace News: On 4 September 2026, Genscript Biotech Corporation (stock code: 01548) announced, pursuant to Rule 13.09 of the Listing Rules, the inside information provisions and Practice Note 15, its proposal to spin off Probio Technology Limited ("Probio"), an indirect non-wholly-owned subsidiary of the Company responsible for the Group's biologics and advanced therapies contract research, development and manufacturing organisation (CDMO) services, and to list its shares separately on the Main Board of the Stock Exchange.

In respect of the proposed spin-off, the Company has submitted an application to the Stock Exchange under Practice Note 15, and the Listing Committee confirmed on 14 August 2026 that the Company may proceed with the proposed spin-off. Details of the proposed spin-off are yet to be finalised; upon completion of the proposed spin-off, the Company will continue to hold a controlling interest in Probio, which will remain a subsidiary of the Company with its financial results continuing to be consolidated into the Group's financial statements.

Under Practice Note 15, if the proposed spin-off proceeds, the Company will give due consideration to the interests of existing shareholders and, through a preferential application arrangement, provide shareholders with a guaranteed allocation of shares to be issued by Probio (the terms of which are yet to be finalised, with all eligible shareholders of the Company to be treated equally in any event). If the proposed spin-off is implemented, it will constitute a deemed disposal of the Company's interest in a subsidiary under Rule 14.29 of the Listing Rules. As the proposed spin-off is subject to, among other things, the final approval of the Listing Committee, market conditions and other considerations, it may or may not proceed.
