GOLDEN FAITH GP (02863.HK): Chairman Ko Chun Hei places entire 17.34% stake

NewTimeSpace News: On 3 September 2026, Golden Faith Group Holdings Limited (stock code: 02863) announced that Mr. Ko Chun Hei, chairman and executive director of the Company (the "Seller"), who held 119,595,000 shares of the Company, representing approximately 17.34% of the Company's existing issued share capital, prior to the completion of the placing, had entered into a placing agreement and completed the placing of all his shares through a placing agent acting as an independent third party on the date of this announcement. Upon completion of the placing, the Seller no longer holds any shares of the Company.

According to the placing agent, each placee has confirmed that it and its respective ultimate beneficial owners are independent and unrelated parties with no acting-in-concert relationship with the Seller, the Company or any persons acting in concert with the Seller or the Company. The placing agreement between the Seller and the placing agent provides that no placee (whether alone or together with any person acting in concert with it) shall hold 30% or more of the total issued share capital of the Company after the completion of the placing.
