CCB (00939.HK): Completes issuance of RMB 50 billion TLAC non-capital bonds (Tranche 2), coupon rates of 1.68% and 1.80%

NewTimeSpace News: On 25 August 2026, CCB (00939.HK) announced the completion of the issuance of RMB 50 billion TLAC non-capital bonds (Tranche 2) (Bond Connect), comprising Tranche 1 of RMB 35 billion (4-year, coupon rate of 1.68%, conditional redemption right at the end of year 3) and Tranche 2 of RMB 15 billion (6-year, coupon rate of 1.80%, conditional redemption right at the end of year 5); the proceeds will be used to enhance the Bank's total loss-absorbing capacity.

NewTimeSpace News: On 25 August 2026, China Construction Bank Corporation (stock code: 00939) announced that, with the approval of the relevant regulatory authorities, the Bank recently issued the 2026 Total Loss-Absorbing Capacity (TLAC) Non-Capital Bonds (Tranche 2) (Bond Connect) in the national interbank bond market, and the issuance was completed on 24 August 2026.

The announcement stated that the total issuance size of the bonds is RMB 50 billion, comprising two tranches: Tranche 1 with an issuance size of RMB 35 billion, a 4-year fixed-rate bond with a conditional issuer redemption right at the end of the third year and a coupon rate of 1.68%; and Tranche 2 with an issuance size of RMB 15 billion, a 6-year fixed-rate bond with a conditional issuer redemption right at the end of the fifth year and a coupon rate of 1.80%. The net proceeds, after deducting issuance expenses, will be used, in accordance with applicable laws and the approval of the regulatory authorities, to enhance the Bank's total loss-absorbing capacity.

The issuance was made pursuant to the resolution approved at the second extraordinary shareholders' meeting of 2025 held on 27 November 2025, authorizing the Bank to issue capital instruments and TLAC non-capital debt instruments with an aggregate amount of up to RMB 700 billion equivalent, comprising capital instruments of up to RMB 450 billion equivalent and TLAC non-capital debt instruments of up to RMB 250 billion equivalent.
