CULTURECOM HOLD (00343.HK): Appoints Sheng Haiyuan as independent non-executive director and Huang Guangyu as authorized representative, resumes Listing Rules compliance
NewTimeSpace News: On 24 August 2026, Culturecom Holdings Limited (stock code: 00343) announced that Ms. Sheng Haiyuan has been appointed as an independent non-executive director and a member of each of the audit committee and the nomination committee, with effect from 24 August 2026.
The announcement stated that Ms. Sheng has over 15 years of experience across the full chain of the biomedicine industry, covering scientific R&D, industrialized management and capital market operations. She currently serves as Director of the Chairman's Office of Hefei Tianhui Biotechnology Co., Ltd. and General Manager of Hoi Mak Tung Hang (Hong Kong) Limited. She has entered into a one-year appointment letter with the Company and is entitled to a monthly remuneration of HKD 20,000 as an independent non-executive director; the letter may be terminated by either party with one month's written notice.
Following her appointment, the board comprises five directors, including two executive directors and three independent non-executive directors, and the Company has complied with Rules 3.10(1), 3.21 and 13.92 of the Listing Rules and Rule B.3.5 of the Corporate Governance Code. The Company had previously disclosed its failure to comply with these requirements in an announcement dated 4 June 2026.
On the same day, Mr. Huang Guangyu was appointed as the authorized representative under Rule 3.05 of the Listing Rules and as the authorized representative for service of process and notices on the Company in Hong Kong under Part 16 of the Companies Ordinance, replacing Mr. Guan Jiancong, with effect from 24 August 2026.
