SG GROUP HLDGS (01657.HK): Appoints Luo Ying, Chen Liangyin and Cao Sheng as Independent Non-Executive Directors; Li Limei Resigns as Executive Director; Zhu Peiqi Resigns as Company Secretary

NewTimeSpace News: On 20 August 2026, SG GROUP HLDGS (01657.HK) appointed Ms. Luo Ying, Mr. Chen Liangyin and Mr. Cao Sheng as independent non-executive directors; Ms. Li Limei resigned as executive director; Mr. Zhu Peiqi resigned as company secretary and was succeeded by Ms. Qian Yingying; the three board committees were realigned accordingly.

NewTimeSpace News: On 20 August 2026, SG Group Holdings Limited (01657.HK) announced changes to directors, board committee composition, company secretary and authorised representative, all effective the same day.

For appointments, Ms. Luo Ying (aged53), Mr. Chen Liangyin (aged 58) and Mr. Cao Sheng (aged 45) have been appointed as independent non-executive directors for a three-year term, with a monthly director's fee of HKD 10,000. Ms. Luo has been a partner and general manager of Sichuan Standard Accounting Firm since January 2018, obtained a diploma in accounting from Southwestern University of Finance and Economics in June 1999, and has been a Certified Public Accountant of China since December 2005. Mr. Chen has been a professor at Sichuan University since July 2014, and has concurrently served as an independent director of CAS Chengdu Information Technology Co., Ltd. (Shenzhen Stock Exchange stock code 300678) since November 2025. Mr. Cao has been with the University of Electronic Science and Technology of China since July 2008, currently serving as a researcher and doctoral supervisor and concurrently as executive director of the Sichuan-Chongqing Joint Key Laboratory of Digital Economy Intelligence and Security (Sichuan). All three meet the independence requirements under Rule 3.13 of the Listing Rules.

For resignations, Ms. Li Limei resigned as an executive director due to changes in her positions and responsibilities within the group (she will continue to serve as administration and HR manager of JC FASHION GROUP LIMITED and LOST INK LIMITED, both wholly-owned subsidiaries); Mr. Lai Kwok Hung, Mr. Yang Cunzhou and Mr. Cüneyt Bülent Bilâlog˘lu resigned as independent non-executive directors to devote time to other business arrangements; Mr. Zhu Peiqi resigned as company secretary and as one of the authorised representatives under Rule 3.05 of the Listing Rules, with Ms. Qian Yingying (aged 38, holder of a Bachelor of Business Administration in Accounting from The Hong Kong Polytechnic University, a member of the Hong Kong Institute of Certified Public Accountants and a Certified Internal Auditor) succeeding him and concurrently serving as an independent non-executive director of China Energy Development Holdings Limited (stock code 228) and Wang Tai Sin Holdings Limited (stock code 1348).

The board committee composition was adjusted accordingly: Ms. Luo was appointed chair of the Audit and Risk Management Committee and a member of the Nomination Committee; Mr. Chen was appointed chair of the Remuneration Committee and a member of the Audit and Risk Management Committee and the Nomination Committee; Mr. Cao was appointed a member of all three committees; and Mr. Wang Chunbin was appointed a member of the Nomination Committee. Ms. Li ceased to be a member of the Nomination Committee; Mr. Lai ceased to be chair of the Audit and Risk Management Committee and a member of the Nomination Committee; Mr. Yang ceased to be a member of the Audit and Risk Management Committee, chair of the Remuneration Committee and a member of the Nomination Committee; and Mr. Bilâlog˘lu ceased to be a member of all three committees.
