AEON CREDIT (00900.HK): public float drops to approximately 19.57%, below the level required by Listing Rules

NewTimeSpace News: On 19 August 2026, AEON CREDIT (00900.HK) announced that its public float was approximately 19.57%, below the 25% minimum required under Rule 13.32B(1) of the Listing Rules; as FMR LLC was notified on 18 August as holding 10% and becoming a substantial shareholder, its shares are excluded from the public float, and the Company is taking measures to restore compliance by the end of August 2026.

NewTimeSpace News: On 19 August 2026, AEON Credit Service (Asia) Company Limited (stock code: 00900) announced that its public float was approximately 19.57% at the time of this announcement, falling below the requirement under Rule 13.32B(1) of the Listing Rules that not less than 25% of the total issued shares be held by the public. The Company was first notified by FMR LLC on 18 August 2026 that it is deemed to be interested in an aggregate of 41,889,086 shares, representing 10.00% of the total issued shares; as FMR LLC is currently a substantial shareholder and core connected person of the Company, its shares are not counted towards the public float.

According to the announcement, the shareholding structure at the time of this announcement is as follows: AEON Japan holds 294,888,000 shares (70.42%), FMR LLC holds 41,889,086 shares (10.00%), director Lai Yuk Kwong holds 30,000 shares (0.01%), and public shareholders hold 81,958,514 shares (19.57%), totaling 418,765,600 shares. Following FMR LLC's on-market purchase of 66,000 shares on 13 August 2026, FMR LLC is deemed to be interested in 26,912,015 shares, 12,457,153 shares and 2,519,918 shares held by Fidelity Management & Research Company LLC (FMR), FIAM LLC (FIAM) and Fidelity Management Trust Company (FMTC) respectively.

The announcement states that the Company is considering various measures to restore its public float, including but not limited to proposing to FMR LLC to reduce its deemed interests to below 10% of the total issued shares; the Company will take appropriate measures as soon as practicable under the Listing Rules, targeting restoration of the public float to the specified percentage by the end of August 2026.
