LINMON MEDIA (09857.HK): Zhang Rong resigns as non-executive director; Zheng Jiaming appointed to board and audit committee

NewTimeSpace News: On 12 August 2026, LINMON MEDIA (09857.HK) announced that Mr. Zhang Rong resigned as non-executive director and audit committee member, and Mr. Zheng Jiaming was appointed in his place with effect from 12 August 2026. Mr. Zheng currently serves as managing director of the consumption business unit of Hony Capital, with an initial term of three years.

NewTimeSpace News: On 12 August 2026, Linmon Media Limited (stock code: 09857) announced that Mr. Zhang Rong resigned as non-executive director and member of the board audit committee with effect from 12 August 2026 due to work planning reasons. Mr. Zhang confirmed that he has no disagreement with the Board and that there are no matters relating to his resignation that need to be brought to the attention of shareholders; the Board expressed its gratitude for his valuable contributions during his tenure.

The Board also announced that Mr. Zheng Jiaming has been appointed as non-executive director and member of the board audit committee with effect from 12 August 2026. Mr. Zheng, aged 40, joined Hony Private Equity Fund Management (Shanghai) Co., Ltd. in July 2012 and currently serves as managing director of the consumption business unit of Hony Capital, responsible for investments in consumption, services and culture-related sectors, with approximately 10 years of experience in the investment field. He graduated from Fudan University with a master's degree in management in June 2012.

The announcement disclosed that Mr. Zheng has entered into an appointment letter with the Company with an initial term of three years, and will hold office until the first annual general meeting of the Company following his appointment, at which he will be eligible for re-election, subject to retirement by rotation and re-election under the Listing Rules and the Company's articles of association. His remuneration will be determined by the Board upon the recommendation of the remuneration committee and in accordance with the Company's remuneration policy; the Company will not pay him any director's remuneration, compensation, bonus, reward or other non-cash benefits for serving as non-executive director. Apart from the above, Mr. Zheng has not held any directorship in other public companies whose securities are listed in Hong Kong or overseas in the past three years, has no relationship with any director, senior management, substantial shareholder or controlling shareholder of the Company, holds no interests in the Company's shares, and there is no other information required to be disclosed.
