WOER (09981.HK): Completes Industrial and Commercial Filing Registration of Articles of Association, Renames Board Strategy and Investment Decision Committee to Strategy and ESG Committee

NewTimeSpace News: Shenzhen Woer Heat-Shrinkable Material Co., Ltd. (stock code: 09981, A-share securities code 002130) published an overseas regulatory announcement on August 10, stating that the Company completed the industrial and commercial filing registration procedures for its Articles of Association on the same day and obtained the Registration Notice issued by the Shenzhen Municipal Administration for Market Regulation.

According to the announcement, at the ninth meeting of the eighth session of the Board of Directors held on July 10, 2026, the Company considered and approved the resolution on renaming the Board's strategy and investment decision committee and amending its rules of procedure, and the resolution on amending the Articles of Association. To further enhance the Company's environmental, social and governance (ESG) management, the Company plans to rename the Board's special committee "Strategy and Investment Decision Committee" to "Strategy and ESG Committee", adjust the Rules of Procedure of the Board's Strategy and Investment Decision Committee to the Rules of Procedure of the Board's Strategy and ESG Committee, add ESG-related work responsibilities on the basis of the original duties, and amend certain provisions of the rules of procedure; based on the above changes, the Company also amended certain provisions of the Articles of Association.

The amendment to the Articles of Association was approved at the third extraordinary shareholders' meeting of 2026 held on July 30, 2026, which authorized the Company's management to handle the relevant industrial and commercial change registration procedures in accordance with the above changes.
