WOER (09981.HK): Subsidiary Leting Zhilian Completes RMB300m Capital Increase

On 8 Oct 2026, WOER (09981.HK) said subsidiary Leting Zhilian completed a RMB300m capital increase, lifting its stake to 94.39%.

NewTimeSpace News: On 8 October 2026, Shenzhen Woer Heat-Shrinkable Material Co., Ltd. (stock code: 09981) released an overseas regulatory announcement setting out its announcement published on the Shenzhen Stock Exchange: to further strengthen the capital base of its controlled subsidiary Huizhou Leting Zhilian Technology Co., Ltd. and optimise its capital structure, Leting Zhilian carried out a capital increase at RMB20.09 per unit of registered capital, with the Company, existing shareholder Dongguan Jinhuihuang Urban Renewal Equity Investment Co., Ltd. and Huizhou Lerong No. 5 Enterprise Management Consulting Partnership (Limited Partnership) subscribing a total of RMB300 million, of which RMB14.9328 million was recorded as registered capital and the remaining RMB285.0672 million as capital reserve.

Recently, Leting Zhilian signed a capital increase agreement with the Company, Dongguan Jinhuihuang, Lerong No. 5 and other existing shareholders: the Company contributed RMB284,998,345, adding RMB14,186,080 of registered capital; Dongguan Jinhuihuang contributed RMB12.4 million, adding RMB617,222 of registered capital; and Lerong No. 5 contributed RMB2,601,655, adding RMB129,500 of registered capital; Leting Zhilian has received all capital contributions totalling RMB300 million. On 8 October 2026, Leting Zhilian completed the industrial and commercial registration change, with registered capital increased from RMB123.727 million to RMB138,659,802.

Following the capital increase, the Company's direct and indirect shareholding in Leting Zhilian increased from 94.32% to 94.39%, and Leting Zhilian remains a controlled subsidiary whose consolidation into the Group's financial statements is unaffected. Its shareholding structure is: the Company 10.23%, Hong Kong Woer Trading Limited (a wholly-owned subsidiary of the Company) 84.16% and Dongguan Jinhuihuang 4.16%, with the remainder held by employee shareholding platforms.
