Momenta-W (06880.HK): Stabilization Period Ended on 2 August; Over-Allotment Option Lapsed Unexercised
NewTimeSpace News: Momenta Global Limited (stock code: 6880) announced that the stabilization period in connection with the global offering ended on 2 August 2026 (Sunday), being the 30th day from the last day for lodging applications under the Hong Kong Public Offering.
According to the announcement, China International Capital Corporation Hong Kong Securities Limited (as the stabilization manager), its affiliates, or any person acting on its behalf, undertook the following stabilization actions during the stabilization period: (1) an over-allotment of an aggregate of 2,990,740 Class A ordinary shares in the international offering, representing approximately 15% of the total number of offer shares available under the global offering before any exercise of the over-allotment option; (2) borrowed an aggregate of 2,990,740 Class A ordinary shares from Creative Circuit Limited, Yijia Venture Capital Limited, Tide Bay Limited, and Tycoon Insight Limited (collectively the "Lenders") pursuant to a stock borrowing agreement to cover the over-allotment, which shares will be returned and redelivered to the Lenders in accordance with the terms of the stock borrowing agreement; and (3) continuously purchased an aggregate of 2,990,740 Class A ordinary shares in the market at prices ranging from HKD 242.20 to HKD 295.60 per share (excluding 1.0% brokerage commission, 0.0027% SFC transaction levy, 0.00015% AFRC transaction levy, and 0.00565% Stock Exchange trading fee), representing approximately 15% of the total number of offer shares available under the global offering before any exercise of the over-allotment option, in order to return the borrowed shares to the Lenders. The last market purchase was made on 31 July 2026 (Friday).
The announcement disclosed that the overall coordinators did not exercise the over-allotment option on behalf of themselves and the international underwriters during the stabilization period, and the over-allotment option lapsed on 2 August 2026 (Sunday). Accordingly, no Class A ordinary shares have been or will be issued pursuant to the over-allotment option.
