GigaDevice (03986.HK): Xiaomi Zhizao Fund Investment Period Extended by One Year; Annual Management Fee Adjusted to 2%

NewTimeSpace News: GigaDevice Semiconductor Inc. (stock code: 603986.SH / 3986.HK) announced on July 20 the progress of its participation in a private equity investment fund.

In July 2022, the Company, as a limited partner, contributed RMB 200 million of its own funds to subscribe for the fund shares of Beijing Xiaomi Zhizao Equity Investment Fund Partnership (L.P.) managed by Xiaomi Private Equity Fund Management Co., Ltd. The fund's planned total fundraising size is RMB 10 billion, and it has currently raised RMB 10 billion in total.

Based on the fund's current investment status, and in order to steadily and orderly advance investment work, realize fund investment returns and safeguard the interests of partners, the fund convened a partners' meeting on July 20, 2026, and passed resolutions on amendments to the partnership agreement of Beijing Xiaomi Zhizao Equity Investment Fund Partnership (L.P.) as follows: (1) The fund's investment period is extended from the first four years from the first closing date to the first five years from the first closing date. (2) During the extended investment period, the annual management fee shall be 2% of the investment costs of unexited projects allocated to the respective partner. No other material changes were made. The Company will soon sign the partnership agreement amendment with the manager and other fund partners regarding the above amendments.

The Company stated that the extension of the fund's investment period is based on a comprehensive consideration of the fund's actual investment progress and arrangements, and is in line with the fund's actual operational circumstances. It will not have a material impact on the Company's daily production and operations, nor will it have an adverse impact on the Company's financial and operating conditions. There is no circumstance that would harm the interests of the Company and its shareholders.
