According to the agreement, the subscriber conditionally agreed to subscribe for in total 150 million shares subscription, which represent approximately 97.82% of the company's existing issued share capital as of the date of this announcement, and approximately 49.45% after the subscription.

The subscription price per share is HKD 0.8. The total proceeds from the subscription are estimated to be about HKD 120 million. After deducting the subscription commission, professional fees, and all related expenses that the company may incur, the net proceeds from the subscription are estimated to be approximately HKD 117.2 million.
REALWAY CAPITAL (01835.HK) announced on Jun 30, 2026 that the company has entered into a placement agreement with the placement agent on Jun 14, 2026. According to the agreement, the placing agent conditionally agreed to use its best endeavors to procure placees to subscribe for up to 50 million shares placement, which represent approximately 32.61% of the company's existing issued share capital as of the date of this announcement, and approximately 24.59% after the subscription.
The placement price per share is HKD 0.8. The total proceeds from the placement are estimated to be about HKD 40 million. After deducting the placement commission, professional fees, and all related expenses that the company may incur, the net proceeds from the placement are estimated to be approximately HKD 39.1 million.
