Ribo Life Science(06938.HK): Proposed Acquisition of 25.93% Equity Stake in Xingborun for RMB 70 Million

NewTimeSpace News: On June 30, 2026, Ribo Life Science(06938.HK) announced that it intends to purchase a 25.93% stake in Xingborun from Haihe Asymchem Fund for RMB 70 million. Xingborun is principally engaged in the research, development, production of phosphoramidite and nucleoside products.

The acquisition price is determined with reference to the redemption mechanism under the original investment agreement. Upon completion of the transaction, the Company’s shareholding in Xingborun will rise to 88.17%. This transaction constitutes a discloseable and connected transaction, which has been approved by the Board of Directors, exempted from independent shareholders’approval, and remains subject to the satisfaction of precedent conditions.
