Biren Tech Submits H-share Full-circulation Application to CSRC Covering ~868 Million Domestic Shares
NewTimeSpace News: Shanghai Biren Technology Co., Ltd. (06082.HK) announced that with the approval of its Board of Directors, the Company filed an application with the China Securities Regulatory Commission (CSRC) on June 5, 2026 to convert an aggregate of 867,509,196 unlisted domestic shares held by certain shareholders into H-shares on a one-for-one basis.
NewTimeSpace News: The Company issued an inside information announcement dated June 5, 2026. Approved by the Board of Directors, Biren submitted the aforesaid conversion application to CSRC on June 5, 2026 for converting a total of 867,509,196 domestic unlisted shares into H-shares at a 1:1 conversion ratio.
Upon obtaining all required filings and approvals from competent regulators including CSRC and HKEX, as well as complying with relevant laws and regulations, such domestic shares will be converted into H-shares. The Company will then apply for listing and trading of such new H-shares on the Main Board of HKEX. Pursuant to the Company’s articles of association, no further shareholders’ meeting approval is required for the conversion and listing arrangement.
As of the announcement date, the application has not yet been accepted and filed by CSRC, and detailed implementation arrangements for the conversion and listing remain pending finalisation.
