HS Optimus Holdings Proposes SGD4.2 Million Acquisition of 30% Stake in Medicorp Plus Put Option for Additional 19% Equity

NewTimeSpace News: HS Optimus Holdings entered into an agreement on June 3 to acquire a 30% equity interest in Medicorp Sdn Bhd for SGD4.2 million, payable partly via new share issuance and partly in cash.

NewTimeSpace News: On 3 June 2026, HS Optimus Holdings unveiled its planned acquisition of a 30% stake in Medicorp Sdn Bhd, a Brunei-based medical equipment supplier.

As disclosed in the announcement, the total acquisition consideration amounts to SGD4.2 million. Up to SGD1 million will be settled through allotment of new shares at an issue price of SGD0.0054 per share, with the balance paid in cash. The vendor is granted a put option enabling it to require the company to purchase an additional maximum 19% equity within three years at SGD560 per share, for a capped total consideration of SGD2.66 million. Completion of the transaction is targeted on or before 20 July 2026.
