CHINA WATER(00855.HK): Renewal of Continuing Connected Transactions, Signing a Three-Year Supply Framework Agreement with the Joint Venture Company
NewTimeSpace News: CHINA WATER(00855.HK) issued an announcement on February 9, 2026, notifying matters related to the renewal of continuing connected transactions, with the core being that its wholly-owned subsidiary Yinlong has signed a new three-year supply framework agreement with the joint venture company.
The announcement indicated that the existing supply framework agreement previously signed by both parties will expire on March 31, 2026, and the term of the new framework agreement will last for three years from April 1, 2026 to March 31, 2029, with an annual transaction cap of RMB 40 million for each year. Pursuant to the agreement, the joint venture company will continue to supply equipment and services related to the pipeline direct drinking water system to China Water Affairs Group for the Group's direct drinking water business.
It is reported that the joint venture company is a non-wholly-owned subsidiary of CHINA WATER, with Yinlong holding a 55% stake and ORIX China and other parties holding the remaining 45%. As ORIX China is a subsidiary of ORIX Corporation, a major shareholder of China Water Affairs, the joint venture company is a connected subsidiary of the Group, and the transaction in question constitutes a continuing connected transaction of the Group.
