Shandong Huanneng: CSRC Seeks Supplementary Filing on Equity Changes

On 30 October 2026, the CSRC sought supplementary materials from Shandong Huanneng on capital changes, acting in concert, use of proceeds and litigation.

NewTimeSpace News: On 30 October 2026, the International Department of the China Securities Regulatory Commission (CSRC) issued supplementary materials requirements for the overseas listing filing of Shandong Huanneng Design Institute Company Limited, asking its lawyers to verify the matters and issue a clear legal opinion.

The requirements cover three areas. First, the circumstances and price of the 2024 capital increase, whether the capital contribution was paid, the reasons for and shareholders involved in the February 2026 capital reduction, and whether Zhang Fuquan and Zhang Dan act in concert and their shareholdings should be aggregated. Second, whether the use of proceeds involves overseas projects and the fulfilment of outbound investment approval procedures. Third, based on the ratio of pending litigation amounts to relevant financial statement items, whether there is any material operating risk that could materially affect the listing.

The CSRC also required Huanneng to provide a conclusive opinion on the legality of its establishment and historical equity changes, as well as its qualification and valid existence. Huanneng is an integrated power engineering services provider focused on renewable energy, which filed for a main-board listing on the HKEX in June 2026.
