GUANAN INFORMATION: CSRC seeks supplementary materials on foreign access, staff platform
NewTimeSpace News: On 18 September 2026, the International Department of the CSRC issued supplementary material requirements for Guan'an Information's overseas issuance and listing filing, covering six items.
Regarding the corporate history, the CSRC requires an explanation of the prices and pricing bases of all past capital increases and equity transfers, whether there are abnormal subscription prices or any transfer of benefits, whether capital has been paid in full and whether there are defects such as failure to perform capital contribution obligations or withdrawal of capital, and whether shareholding entrustment existed during the corporate history, together with a definitive opinion on the legality and compliance of the Company's establishment and past equity changes and on its subject qualification and valid existence. Regarding shareholders added within 12 months before the filing application, the CSRC requires an explanation of the pricing bases, the reasons for differences from the capital increase pricing in the same period, and the income tax paid by the transferors. Regarding state-owned shareholders, the CSRC requires an explanation of the progress of state-owned shareholding identification and other state asset management procedures and of the approval or internal decision-making procedures for the "full circulation" of shares.
In addition, the CSRC requires an explanation of the reasons for the subscription by close relatives of management personnel to the employee shareholding platform, whether other external persons are involved, whether such subscriptions are lawful and compliant and whether there is any transfer of benefits, and whether the platform has reserved or unallocated units; of whether the business scope and actual business of the Company and its subsidiaries involve restricted or prohibited foreign investment sectors and the foreign shareholding percentage and calculation method after the offering and "full circulation"; and of whether the shares to be involved in the "full circulation" are subject to pledge, freezing or other defects in title.
