On 5 November 2026, BILIBILI-W (09626.HK) completed Tencent's US$200m note subscription and its US$200m concurrent buyback of Tencent-held shares.

NewTimeSpace News: On 6 November 2026, Bilibili Inc. (09626.HK) disclosed that the Tencent note subscription and the concurrent Tencent buyback were completed simultaneously on 5 November (after Hong Kong trading hours), under which Tencent (through its subsidiary) subscribed for notes with an aggregate principal amount of US$200 million, and the company repurchased part of the existing Class Z ordinary shares and ADSs held by Tencent for US$200 million.

Upon completion of the concurrent Tencent buyback and the Tencent note subscription (assuming no conversion of the notes), Tencent's (including its subsidiaries') shareholding fell sharply from 13,639,108 Class Z ordinary shares (about 3.3%) before completion; after the adjustment arising from the cancellation of the repurchased shares, Tencent's holding further declined to 48,018 Class Z ordinary shares, approaching zero. If the notes were fully converted at the initial conversion price, Tencent would hold approximately 10,115,498 Class Z ordinary shares (about 2.3%).

The transactions form part of the matters described in the company's announcement dated 4 September 2026, the circular dated 25 September 2026 and the poll results announcement dated 28 October 2026, with the relevant shareholding and voting percentages adjusted for the cancellation of the repurchased shares.
