On 29 October 2026, SF HOLDING (06936.HK) said its unit SF Fengtai will acquire SF Logistics Holdings from SF REIT for ~HK$2.61bn (four logistics properties in Tsing Yi, Foshan, Wuhu, Changsha); SF REIT to be wound up and delisted.

ewTimeSpace News: On 29 October 2026, S.F. Holding Co., Ltd. (stock code: 06936, A-share code: 002352.SZ) announced that its wholly-owned subsidiary SF Fengtai Industrial Park Holdings Limited (the "Purchaser") and SF Real Estate Investment Trust ("SF REIT"; stock code: 2191) published a joint announcement on the same day. As of the announcement date, the Company indirectly holds 300,355,741 units of SF REIT through SF Fengtai, representing approximately 36.61% of SF REIT's total issued units.

As stated in the joint announcement, the Purchaser, DB Trustees (Hong Kong) Limited (as trustee of SF REIT / the "Seller"), and SF REIT Asset Management Limited (manager of SF REIT) entered into a sale and purchase agreement under which the Seller will sell to the Purchaser the entire issued shares of SF Logistics Holdings Limited (the "Disposal Subject"), a direct wholly-owned subsidiary of SF REIT, together with inter-company balances, for a total consideration of approximately HKD2,611,147,699. The Disposal Subject currently holds four modern logistics properties in Tsing Yi (Hong Kong) and Foshan, Wuhu and Changsha (Chinese Mainland), all situated in strategic key logistics hubs; upon completion, SF REIT will no longer hold any interest in the Disposal Subject.

Upon completion, SF REIT will make a special distribution and the 2026 second interim distribution, and propose under the REIT Code its termination, winding-up, delisting and withdrawal of REIT authorization, with its units to be delisted from the Stock Exchange; these proposals are subject to conditions precedent (including approval by independent unitholders). The Company will regain complete control of the spun-off assets, helping to coordinate and optimise its logistics assets and eliminate redundant administrative expenses, in line with its long-term strategic layout.
