WERIDE-W (00800.HK): Jingshuo Raises RMB70m and Adopts Incentive Plan; Stake Diluted to 67.63%
NewTimeSpace News: On 29 October 2026, WeRide Inc. (stock code: 800) announced that on 28 October 2026, after trading hours, Jingshuo, Taizhou WeRide and the investors entered into a capital increase agreement under which the investors will subscribe for RMB4 million of Jingshuo's registered capital for total consideration of RMB70 million, representing about 3.38% of Jingshuo's registered capital following completion and full implementation of the incentive plan.
On the same date, Jingshuo's sole shareholder Taizhou WeRide and the Jingshuo board approved the adoption of a Jingshuo equity incentive plan, with a cap of RMB34,285,714 of registered capital (about 28.98% of the enlarged registered capital), and approved a first grant of awards over RMB18,285,714 of registered capital to three participants, including RMB8 million each to two founders.
Mr Huo, a director of Jingshuo, and Mr Han, brother of executive director Dr Han Xu, are connected persons of the Company, so the grants to them constitute connected transactions. As both the subscription and the incentive plan constitute deemed disposals of the Company's interest in Jingshuo, the combined effect is a dilution from 100% to about 67.63%, equivalent to a deemed disposal of 32.37%. The applicable percentage ratios exceed 5% but are below 25%, requiring reporting and announcement but exempting circular and shareholder approval.
To separate the Group's and Jingshuo's businesses, the parties plan a restructuring transferring or licensing data-related assets, intellectual property, contracts and personnel to Jingshuo, while the Group retains the data tools and technology needed for autonomous driving R&D. After completion, the Group will focus on its core autonomous driving business and Jingshuo will operate as an independent data business platform covering data collection, labelling, processing and related technology development. Conditions precedent must be satisfied or waived by 31 December 2026.
