FIRST CAP GP (01269.HK): Winding-Up Petition Hearing Adjourned to 1 February 2027, Scheme Meeting Hearing on 19 November

NewTimeSpace News: On 23 October 2026, China First Capital Group Limited (stock code: 01269) announced, pursuant to Rules 13.09 and 13.25 of the Listing Rules and Part XIVA of the Securities and Futures Ordinance, that the High Court on that day adjourned the hearing of the winding-up petition against the Company (the New Petition) from 9:30 a.m. on 26 October 2026 to 9:30 a.m. on 1 February 2027.

The announcement disclosed that the High Court also issued directions on the same day, and the hearing for convening a scheme meeting for scheme creditors to consider and, if they think fit, approve the proposed scheme, with or without modification (the Convening Hearing), has been scheduled for 10:00 a.m. Hong Kong time on 19 November 2026. The Company will submit the application for the Convening Hearing as soon as practicable and is seeking legal advice on the matter.

The Company stated that it will make further announcements as and when necessary to update shareholders and potential investors on material developments regarding the New Petition, the share transfer matter, the Convening Hearing and the proposed debt restructuring. It cautioned that there is no assurance that the proposed scheme will be approved or sanctioned or that discussions with creditors will achieve any positive outcome, and that it cannot guarantee the proposed debt restructuring will be completed, advising shareholders and potential investors to exercise caution when dealing in its securities.
