SINO OIL & GAS (00702.HK): No Review of Delisting Decision; Listing to Be Cancelled from 27 October
NewTimeSpace News: On 22 October 2026, Sino Oil and Gas Holdings Limited (in liquidation) (the "Company") announced, pursuant to Rule 13.09 of the Listing Rules and the inside information provisions under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong), that on 9 October 2026 it received a letter from the Stock Exchange stating that, as the Company had failed to fulfil any of the resumption guidance and trading in its shares had remained suspended, the Listing Committee of the Stock Exchange had decided under Rule 6.01A(1) of the Listing Rules to cancel the Company's listing status.
The announcement disclosed that the resumption guidance requires the Company to withdraw or set aside the winding-up order made against the Company and discharge any liquidators; publish all outstanding financial results required under the Listing Rules and address any audit modifications; demonstrate compliance with Rule 13.24 of the Listing Rules; regain compliance with Rule 8.16 of the Listing Rules; and provide all material information to the market to enable shareholders and other investors to assess the Company's position.
The Company stated that, under Chapter 2B of the Listing Rules, it was entitled to submit an application to the Listing Review Committee of the Stock Exchange for a review of the delisting decision within seven business days from the date of the decision; after considering the Company's facts and circumstances, the Company has decided not to apply for a review of the decision under Chapter 2B. Accordingly, the last listing date of the Company's shares will be 26 October 2026, and the listing of the shares will be cancelled with effect from 9:00 a.m. on 27 October 2026. The Company reminded that, after 26 October 2026 (being the last day on which the shares are listed on the Stock Exchange), the shares will not be listed or traded on the Stock Exchange even though the share certificates remain valid, and the Company will no longer be governed by the Listing Rules; shareholders and investors with any questions on the impact of the cancellation of listing should seek appropriate professional advice.
