NewTimeSpace News: On 20 October 2026, BOCOM International Holdings Company Limited (the "Company") announced that Preferred Investment, a direct wholly-owned subsidiary incorporated in the British Virgin Islands and principally engaged in investment management, acquired notes on the over-the-counter market. On 15 October 2026 it acquired US$9,100,000 in principal amount of BNP Notes II at a purchase price of 101.73 for a consideration of US$9,257,460.84 (equivalent to approximately HKD 72,671,067.59); on 16 October 2026 it acquired US$5,000,000 in principal amount of BNP Notes III at a purchase price of 87.891 for a consideration of US$4,394,548.75 (approximately HKD 34,497,207.69) and US$12,000,000 in principal amount of CCAMCL Notes III at a purchase price of 100.00 for a consideration of US$12,000,000 (approximately HKD 94,200,000). The Group has funded and will fund these acquisitions from internal resources.

The announcement disclosed that BNP Notes II and BNP Notes III were issued by BNP and are listed on Euronext Paris, while CCAMCL Notes III were issued by Cinda China and are listed on the Stock Exchange. Cinda China is incorporated in the British Virgin Islands and wholly owned by Cinda Hong Kong, which is in turn wholly owned by China Cinda Asset Management Co., Ltd. (stock code 1359); BNP is a French multinational bank whose shares are listed on Euronext Paris (stock code BNP). To the best of the directors' knowledge after all reasonable enquiries, Cinda China, Cinda Hong Kong, China Cinda Asset Management Co., Ltd. and BNP are all independent third parties of the Company and its connected persons.

The Company stated that, as to prior acquisitions, Preferred Investment acquired US$8,000,000 in principal amount of BNP Notes I between 21 and 23 September 2026 at purchase prices ranging from 100.865 to 100.885 for a consideration of US$8,069,812.50 (approximately HKD 63,348,028.13); US$2,250,000 in principal amount of CCAMCL Notes I on 6 March 2026 at a purchase price of 105.889 for a consideration of US$2,382,506.25 (approximately HKD 18,702,674.06); and US$7,710,000 in principal amount of CCAMCL Notes II between 14 May and 24 July 2026 at purchase prices ranging from 101.004 to 101.721 for a consideration of US$7,814,860.86 (approximately HKD 61,346,657.75). As all applicable percentage ratios for each of the prior acquisitions were below 5%, they did not constitute discloseable transactions.

The Company stated that, as the prior and current BNP note acquisitions, and the prior and current CCAMCL note acquisitions, were respectively made within a twelve-month period, they must each be aggregated as a series of transactions of the Company under Rule 14.22 of the Listing Rules; the highest applicable percentage ratios for each of the two note categories, on an aggregated basis, exceed 5% but are below 25%, so each constitutes a discloseable transaction subject to the notification and announcement requirements under Chapter 14. The directors consider that the acquisitions provide the Group with long-term investment opportunities to deploy capital resources for stable investment returns while taking reasonable risks, on terms that are fair and reasonable and on normal commercial terms, in the ordinary course of the Group's business and in the overall interests of the Company and its shareholders.
