LEADER EDU (01449.HK): Controlling Shareholder Completes Sale of 239.23m Shares to Scienjoy

NewTimeSpace News: Leader Education Limited (stock code: 01449) voluntarily announced on 15 October 2026 that the Board had been informed by controlling shareholder Shuren Education Limited that the conditions precedent to the sale and purchase agreement had been satisfied and that the transaction was completed on 15 October 2026. The transaction involved the sale of 239,234,000 shares of the Company, representing approximately 29.9% of the issued share capital as at the date of the announcement, to Scienjoy Innovation Labs Inc for a consideration of approximately HKD 102.69 million.

The Company further disclosed that upon completion, the aggregate shareholding of Mr. Liu Lai Xiang and Ms. Dong Ling decreased from 496,674,000 shares (62.08%) to 257,440,000 shares (32.18%), of which Joonhua Education Limited retained 196,674,000 shares (24.58%) and Shuren's holding decreased from 300,000,000 shares (37.50%) to 60,766,000 shares (7.60%). Scienjoy holds 239,234,000 shares (29.90%), while other public shareholders' 303,326,000 shares (37.92%) remained unchanged.

The Company also noted that Mr. Liu Lai Xiang is the Chairman, Chief Executive Officer and Executive Director of the Company, and Joonhua Education Limited is wholly owned by him, while Ms. Dong Ling is an Executive Director and Shuren is wholly owned by her; as the two are spouses, each is deemed to be interested in shares held by the other.
