BONJOUR HOLD (00653.HK): Issues 4.72 Million New Shares at HKD 1.434

NewTimeSpace News: On 12 October 2026 (after trading hours), Bonjour Holdings Limited (stock code: 00653) entered into subscription agreements with two subscribers, each an independent third party, pursuant to which the Company conditionally agreed to allot and issue a total of 4,716,329 subscription shares at HKD 1.434 per share, for an aggregate subscription consideration of approximately HKD 6.76 million. The first subscriber subscribed for 2,653,000 shares (approximately HKD 3.80 million) and the second subscriber for 2,063,329 shares (approximately HKD 2.96 million).

The announcement stated that the subscription shares represent approximately 7.54% of the Company's existing issued shares as at the date of the announcement and approximately 7.02% of the issued shares as enlarged by the allotment and issue of the subscription shares. The subscription price represents a discount of approximately 7.48% to the closing price of HKD 1.550 per share on the date of the subscription agreements and approximately 19.9% to the average closing price of HKD 1.790 per share for the last five consecutive trading days immediately preceding that date. Net proceeds are estimated at approximately HKD 6.70 million, or approximately HKD 1.421 per subscription share.

The subscription shares will be allotted and issued under a general mandate and no shareholder approval is required. Completion is conditional upon, among others, the Listing Committee of the Stock Exchange granting approval for the listing of and permission to deal in the subscription shares on or before 31 October 2026. The Company intends to apply the net proceeds to its business development plans and general working capital, with about 30% for general working capital, about 15% for own-brand and OEM product development and about 15% for HKMALL enhancement and offline retail integration.
