DATANG POWER (00991.HK): Signs Capital Increase Agreement; to Inject RMB 627.74mn into Datang Nuclear Power

On 9 October 2026, DATANG POWER (00991.HK) signed a capital increase pact, injecting RMB 627.74mn and Datang Group RMB 941.62mn into Datang Nuclear Power.

NewTimeSpace News: On 9 October 2026, Datang International Power Generation Co., Ltd. (the "Company") announced that on 9 October 2026 it entered into a capital increase agreement with Datang Group and Datang Nuclear Power Company, pursuant to which the Company and Datang Group agreed to increase the registered capital of Datang Nuclear Power Company in cash. The registered capital of Datang Nuclear Power Company will increase from RMB 4,714,891,400 to RMB 6,284,251,400, an increase of RMB 1,569,360,000; of which, according to their respective shareholding proportions, the Company agreed to inject RMB 627,740,000 and Datang Group agreed to inject RMB 941,620,000.

The announcement disclosed that, upon completion of the capital increase, the Company's cumulative capital contribution to Datang Nuclear Power Company will be RMB 2,513,696,600, with its total shareholding remaining at 40%; and Datang Group's cumulative contribution will be RMB 3,770,554,800, with its total shareholding remaining at 60%. The Company's contribution to the registered capital will be paid from internal funds. The total capital increase was determined by the parties based on the development and project construction funding needs of Datang Nuclear Power Company, and will mainly fund: the Liaoning Xudabao nuclear power project (about RMB 740,710,000), the Fujian Ningde nuclear power phase II project (about RMB 562,950,000), the Liaoning Zhuanghe nuclear power project phase I (about RMB 159,900,000), and preliminary costs of the Guangdong Yangxi nuclear power project (about RMB 105,800,000).

The Company stated that, as of the announcement date, Datang Group is the controlling shareholder of the Company, holding, together with its subsidiaries, approximately 53.04% of the issued share capital, and is therefore a connected person of the Company; Datang Nuclear Power Company is 60%-held by Datang Group, is an associate of Datang Group and hence a connected person of the Company, so the transaction under the capital increase agreement constitutes a connected transaction of the Company. Under Rules 14.22 and 14A.81 of the Listing Rules, the transaction and past transactions must be aggregated and treated as one; as the highest applicable percentage ratio exceeds 0.1% but is below 5%, the transaction is subject to the reporting and announcement requirements under Chapter 14A but exempt from independent shareholders' approval, and does not constitute a discloseable transaction under Chapter 14.
