HANG YICK HLDGS (01894.HK): Pre-condition for Wei Huaping's Partial Offer Fulfilled

NewTimeSpace News: On 9 October 2026, Hang Yick Holdings Company Limited (the "Company") announced, referring to the announcement published by the offeror Mr. Wei Huaping on 23 September 2026 regarding the voluntary cash partial offer made by WM Capital Limited for and on behalf of the offeror, subject to a pre-condition, to acquire 30,000,000 shares of Hang Yick Holdings (other than those already owned by the offeror and its concert parties).

The announcement disclosed that, as disclosed in that announcement, the making of the partial offer is subject to the Executive's consent to the partial offer being obtained under Rule 28.1 of the Takeovers Code. The offeror is pleased to announce that, on 9 October 2026, the Executive's consent to the partial offer was obtained under Rule 28.1, and the pre-condition has therefore been fulfilled; WM Capital will make the partial offer to qualifying shareholders for and on behalf of the offeror. Under Rule 8.2 of the Takeovers Code, the offeror must despatch the offer document to shareholders within 21 days after the date of that announcement (or such later date as permitted by the Takeovers Code and consented to by the Executive), containing the terms and expected timetable of the partial offer; the offeror is finalising the offer document in accordance with the Takeovers Code and will make further announcements on its despatch as appropriate.

The Company stated that shareholders and potential investors should note that the partial offer is subject to conditions and may or may not become unconditional; if it does not become unconditional, it will lapse.
