BASECARE-B (02170.HK): Plans Share Repurchases of Up to RMB 5mn Under Repurchase Mandate
NewTimeSpace News: On 9 October 2026, Suzhou Basecare Medical Corporation Limited (the "Company") voluntarily announced that, pursuant to a resolution passed by shareholders at its 2025 annual general meeting held on 4 June 2026, the board has been granted a general unconditional mandate (the "Repurchase Mandate") to repurchase the Company's H shares in a number not exceeding 10% of the total number of H shares in issue as at 4 June 2026 (namely 8,271,383 H shares).
The announcement disclosed that the board intends to exercise its powers under the Repurchase Mandate, and the Company will repurchase H shares on the open market from time to time subject to market conditions and the terms of the Repurchase Mandate, in an amount not exceeding RMB 5 million. The Repurchase Mandate will expire on the earliest of: the conclusion of the Company's next annual general meeting; the expiry of the period within which the Company is required by its articles of association or any applicable law to hold its next annual general meeting; and the date on which shareholders pass the necessary resolution to revoke or vary the authorisation granted under the Repurchase Mandate. The share repurchase programme will be funded from its own financial resources rather than the proceeds from the H-share listing.
The Company stated that the share repurchase programme reflects the board's confidence in the Company's long-term development, its current operational growth prospects and financial position, taking into account recent market conditions. The board considers that the current trading price of the H shares undervalues the Company's intrinsic value and business prospects, and that the programme will enhance shareholder value; the Repurchase Mandate will only be implemented when the board considers it appropriate and in the overall interests of the Company and its shareholders. The Company reminds shareholders and potential investors that exercise of the Repurchase Mandate depends on market conditions and is at the board's full discretion, and that no assurance can be given as to the timing, number or price of any repurchase or whether any repurchase will be made.
